Lehua Entertainment (02306) and Youku Information Technology signed a 2026 business cooperation framework agreement with Youku

Zhitong Finance App News, Lehua Entertainment (02306) issued an announcement. On December 22, 2025, Lehua Co., Ltd. (a wholly-owned subsidiary of the Company) and Youku Information Technology (for itself and an affiliate company jointly controlled by Youku Information Technology) entered into a 2026 business cooperation framework agreement with Youku. Lehua Co., Ltd. (for itself and on behalf of its subsidiary) will enable suitable contracted artists to perform relevant appointments with Youku and purchase ticket agency services from Youku, including (but not limited to) signing endorsements to promote Youku members and perform in variety shows, movies and TV shows Aggregate and other commercial activities, and purchase online and offline ticketing systems and ticketing agency services (2026 Business Cooperation Framework Agreement).

Youku is one of the leading internet video platforms in China, and there is a strong demand to hire our artists. As a result, our contracted artists can benefit from Youku's platform resources and gain wider exposure. Furthermore, by using the mature ticketing agency system provided by Youku, the company can coordinate and execute large-scale events and management activities more efficiently, including but not limited to concerts by our contracted artists, without undue technical restrictions. Through market cooperation with various business units of Youku, we can further enhance the popularity and social influence of artists, thereby creating greater value for the Group and expanding our brand awareness. Furthermore, the terms provided by the Group to Youku Information Technology under existing relevant agreements are not superior to those provided to other independent third party customers. Fees charged by either party in transactions to be carried out with Youku under the 2026 business cooperation framework agreement will be determined by reference to the current market price provided by other independent customers/suppliers at no lower than the current market price. Therefore, related business cooperation with Youku is expected to be profitable and conform to the overall interests of the Group and shareholders. Therefore, the proposed transactions under the 2026 business cooperation framework agreement with Youku will be carried out in accordance with normal commercial terms in the daily and general business processes.
