(Haitong M&A Capital), Haitong Kaiyuan Investment Co., Ltd., Shanghai Yiliu Industrial Corporation, Shanghai Yiliu Energy (Group) Co., Ltd., Taizhou Hailing City Development Group Co., Ltd., Huaneng Guicheng Trust Co., Ltd. (representing Huaneng Trust Zuncheng Hengyu Wealth Inheritance Trust No. 168) and Shanghai Puyi Industrial Co., Ltd. Private Equity Fund Phase III Partnership “(Limited Partnership) Partnership Agreement” (partnership agreement), and it is proposed to subscribe for limited partnership shares in the third phase of the Shanghai M&A Fund. The total investment pledged in the third phase of the Shanghai M&A Fund is RMB 830 million, of which Changfei Capital, as a limited partner, plans to pledge RMB 60 million, accounting for 7.23% of the total investment of the Shanghai M&A Fund; Changxin Bochuang, as a limited partner, plans to pledge RMB 40 million with its own capital, accounting for 4.82% of the total investment in the third phase of the Shanghai M&A Fund.

The third phase of the Shanghai M&A Fund mainly focuses on equity investment opportunities such as mergers and acquisitions in industries supported by national policies such as high-end manufacturing, integrated circuits, new materials, new energy, and information technology. The company's subsidiary Changfei Capital and Changxin Bochuang have subscribed to the Shanghai M&A Fund Phase III limited partnership shares.
