According to Zhitong Finance App, Huige Environmental Protection (02613) announced that on December 15, 2025, OM Shanghai Buyer (a wholly-owned subsidiary of the Company) and OM Singapore Buyer (a wholly-owned subsidiary of the Company) have signed memorandums of agreement with the seller OM Shanghai Inc and Singapore Tankers respectively, at a total cost of US$28.75 million (equivalent to approximately HK$224 million) Acquired the ships OM Shanghai and OM Singapore.

The directors believe that the transaction is in line with the Group's strategic goals and will bring significant benefits to the Group and its shareholders as a whole.

The transaction represents a proposed ship acquisition as described in the prospectus. The transaction is in line with the company's goals set out in the prospectus and supports the company's plans to establish the company's marine R&D platform and mobile exhibition platform to display the company's equipment and system products and pipeline products. According to the prospectus, the chartering arrangement will be designed to allow the Group to install its equipment, systems and pipeline products, or carry out other necessary maritime research and development activities. At the same time, the lessee will be required to cooperate with the Group in installing and testing the R&D products, and allow the Group's target customers to board and visit certain ports.

Therefore, the Board believes that the transaction will enable the Group to establish the Company's exclusive maritime R&D platform, which is essential for displaying, testing and verifying the Group's proprietary equipment and systems in an actual operating environment. In particular, the ship will be used as the company's mobile exhibition platform, enabling the Group to reach potential customers at various ports around the world. During the arrival period, the Group can display the equipment and systems in operation to provide customers and stakeholders with a persuasive practical experience. This move is expected to accelerate the introduction of new products into the market and strengthen the Group's competitive position in the field of marine equipment. Furthermore, the original equipment and systems developed by the Group are installed on ships to collect operating data, and their effectiveness can also be shown to potential customers. This move also allows customers to experience the functions and advantages of the Group's new equipment and systems during operation rather than by reading charts or models.
