Spectron, a subsidiary of Xuhui Holding Group (00884), entered into a three-year prepaid subscription option transaction and sale and swap transaction with LMR

Zhitong Finance App News, Xuhui Holding Group (00884) issued an announcement. According to the terms of the letter of commitment and in order to complete and implement the proposed transaction (see September announcement for definition), Spectron, a wholly-owned subsidiary of the Company, entered into a three-year prepaid subscription option transaction and sale and swap transaction with LMR on December 12, 2025. A prepaid subscription option transaction and a sale and swap transaction together constitute a proposed transaction (as defined in the September announcement) and achieved the agreed commercial goals set out in the September announcement.

As a fund seeking capital appreciation and optimistic about the Company's long-term prospects, LMR has agreed to extend the period of proposed transactions under prepaid subscription options transactions (see September announcement for definition) from 364 days as previously proposed to three years.
