According to Zhitong Finance App News, Shoucheng Holdings (00697) announced that on November 2, 2026, FGIL, an indirect wholly-owned subsidiary of the Company, signed a placement letter with the placement agent. According to this, FGIL has agreed to subscribe for subscription shares (up to 13.432 million shares to be subscribed by FGIL under the subscription matters in accordance with the placement letter). The total cost (excluding transaction costs) is up to HK$83.95 million.
According to the placement letter, FGIL has agreed to subscribe for subscribed shares, and the final number of subscribed shares to be allotted and issued to FGIL is at the sole discretion of the placement agent. If the Prime Finance Placement Agreement expires or the placement agent terminates the First Favourite Asset Finance Placement Agreement, the subscription will not be carried out, and subscription shares will not be allocated and issued to FGIL.
Immediately prior to the subscription, the Group did not hold any First Preferred Finance shares. After completion of the Prime Finance share supply and subscription matters, assuming that there are only 63,0586 million First Value Finance shares (i) 496.266 million First Value Finance shares, the provisional quota has been accepted by Shouhui Finance shareholders in accordance with the Prime Finance announcement; and (ii) the subscribed shares will be distributed and issued by Shouhui Finance in accordance with the Prime Finance share offering, then the subscribed shares will account for about 9.45% of the issued shares of Prime Finance.
The Group believes that the current and future business direction of Prime Finance is highly compatible with the Group's main business. As disclosed in the Prime Finance Shareholding Regulations, the proceeds from the Prime Finance share offering will be used (among others) to explore leasing projects involving medical and healthcare equipment, industrial robots, automation and intelligent manufacturing equipment, logistics equipment, and other technology-related equipment. This subscription will enable the Group to deepen strategic collaboration with the Group and improve the closed loop of services for the Group's physical AI industry investment and scenario ecosystem platform. In view of the above, the Board of Directors believes that the terms of the subscription are fair and reasonable and conform to the overall interests of the Company's shareholders.
