No. RMG 90/2026 2 November 2026 Subject: Execution of the Agreement to sell and purchase for immovable and movable property of the Royal Orchid Sheraton Hotel and Tower Project between Grande Royal Orchid Hospitality Real Estate Investment Trust with Buy-Back Condition and Orchid Hospitality Company Limited and the payment of deposit To: The President The Stock Exchange of Thailand Whereas the meeting of the unitholders of Grande Royal Orchid Hospitality Real Estate Investment Trust with Buy-Back Condition No. 1/2026 held via electronic means (E-Meeting) on October 28, 2026 resolving to approve Agenda 2 the disposal of the core assets to Orchid Hospitality Company Limited at a price of THB 5,300 million within 14 days from the date of receipt of the resolution of approval from the Unitholders' Meeting One Asset Management Limited ("ONEAM"), in its capacity as the REIT Manager of Grande Royal Orchid Hospitality Real Estate Investment Trust with Buy-Back Condition (the "Trust") hereby informs that MFC Asset Management Public Company Limited, in its capacity as the Trustee of the Trust, and Orchid Hospitality Company Limited signed the Agreement to sell and purchase for immovable and movable property of the Royal Orchid Sheraton Hotel and Tower Project on October 30, 2026. On the same day, the Trust received a deposit of Baht 100 million from Orchid Hospitality Company Limited. In this regard, once the Trust has successfully disposed of its core assets, the Trust unitholders will be notified accordingly. Please be informed accordingly.
