04:50 AM EDT, 10/14/2026 (MT Newswires) -- Agility Global (ADX:AGILITY) agreed to divest all of its 65.12% stake in energy logistics business Tristar to Indian oil and gas logistics company Aegis Logistics. The deal gives Tristar an enterprise value of $1.5 billion, according to a late Tuesday release. Abu Dhabi-listed Agility Global will receive a total consideration of $581 million, comprising $425 million payable upon closing, $100 million payable a year after closing, and an earn-out of up to $46 million. With the signing of the agreement, Agility estimates a total return of more than $1 billion from its capital injections in Tristar since 2003, which totaled $130 million. "This transaction validates our business model: identify attractive sectors and promising businesses, deploy patient capital with disciplined governance, incentivize and empower management to scale, and realize value. This is our second major strategic exit, following the 2021 sale of Global Integrated Logistics to DSV. It demonstrates a consistent, repeatable approach to building and exiting businesses at scale," said Agility Chairman Tarek Sultan. Agility intends to evaluate how it will allocate net proceeds from the divestment closer to completion, which is expected at the end of March 2027, subject to the approval of relevant regulators among other closing conditions. The sale does not include Agility's interests in a fuel storage asset that is consolidated in Tristar's financial statements. Agility said the interest, which has an estimated value of at least $145 million, will be sold separately. Agility shares rose more than 4% in midday trading.
