Zhitong Finance App learned that the big news that Bumble (BMBL.US), a well-known dating app provider in the US, will be privatized has settled. According to a statement released on Monday, Ithaca Holdings, founded by Sequoia Capital partner Ravi Gupta and former Meta executive John Hegeman, privatized Bumble at a price of $1.3 billion. The corresponding purchase price was $6.05 per share, a 138% premium over Bumble's closing price last Friday.

After reports on Monday that Bumble and Ithaca Holdings were in in-depth negotiations on the sale, Bumble closed up 49.61% on Monday. Boosted by confirmation of the privatization deal, as of press release, Bumble continued its pre-market rally on Tuesday, with an increase of nearly 57%.

The deal marks a dramatic turn in Bumble's fortunes. More than five and a half years ago, the company's valuation when it went public was as high as $14 billion. The app was founded by former Tinder co-founder Whitney Wolfe Herd in 2014, and its core idea is that only women can take the lead on the app. However, like many similar dating apps, Bumble also experienced a decline in the number of users as young people gradually grew tired of online dating and began to take interest in other ways to socialize and meet new people, such as offline events.

In August of this year, Bumble dropped the female-initiated interaction model. This is the company's latest move to increase user engagement. This year, the company also launched an AI-powered assistant designed to act as a personal matchmaker, providing users with a dating experience different from constantly swiping through user profiles.

Some business data previously released by Bumble explains why acquisition opportunities suddenly appeared. The company's revenue for the second quarter of 2026 fell 15.2% year over year to US$210.5 million, and the number of paying users decreased by 16.4% to about 3.2 million. The average revenue per paying user only increased by 1.2%, indicating that the loss of users overcame the improvement in monetization, although the company still achieved an adjusted EBITDA of US$72.9 million and free cash flow of US$51.1 million. The business growth trajectory has been thwarted, but app brand influence, paying users, and cash generation capacity still exist, which is the foundation for potential buyers to begin transformation.

Once the deal is completed, Bumble will continue to be headquartered in Austin and have other major offices in London and New York. Whitney Wolfe Herd said in a statement that she will “continue to actively participate in Bumble's business.”

Some analysts said that this potential deal may be closely related to the recent wave of AI applications dominated by OpenAI and Anthropic that has taken the world by storm. According to reports, Ithaca Holdings' official website positions the company as a holding platform for long-term ownership of leading technology companies, with the goal of using the world's most advanced technologies such as AI smart devices to improve users' product experience. This makes Bumble's privatization deal mean both the acquisition of mature internet assets and investment in AI applications.

Some analysts pointed out after the disclosure of the acquisition news that Ithaca plans to apply advanced technology, including AI, to investment targets, and Bumble may become one of the company's earliest major layouts. Deriving from the acquisition logic, taking over Bumble allows Ithaca to directly obtain a mature brand, user network, payment system and operation team to provide a ready-made business scenario for technological transformation; the privatization process also helps accelerate product restructuring based on cutting-edge AI technology over a longer period of time.

The technical value is first reflected in reducing invalid matches and improving the efficiency of real connections. Bumble already uses AI to identify fake and fraudulent accounts, and is improving matching algorithms and offline meeting experiences. Further transformation space includes understanding user relationship requirements, optimizing recommendations, and reducing safety audits and customer service costs. If these capabilities can improve effective interactions, paid conversions, and word-of-mouth customer acquisition, they may drive revenue and cash flow recovery. However, Ithaca's potential transformation and implementation plan after the acquisition has not yet been announced.

Whether Bumble can be a successful example of value discovery in the AI application era depends on whether comprehensive transformation driven by AI technology can improve the user experience and the economy per user. For Ithaca, this acquisition may become an important project to verify the “acquisition of mature platforms - technological transformation - recovery of cash returns” model; for Bumble shareholders, the current rise is mainly driven by merger and acquisition expectations, and the market-revaluation trend at the business level still urgently needs to be supported by improved paying users and revenue trends.
