According to the news, recently, major shareholders of Dell have intensively reduced their share holdings. Silver Lake Group submitted a Form 144 restricted share sale statement, and proposed to sell 4788 Class C common shares. The relevant shares came from the previous prorated physical distribution; Egon Durban, CEO of Silver Lake Coalition and Dell director, also submitted a similar Form 144 statement to sell 1800 Class C common shares. The data also shows that a number of Silver Lake affiliates have sold a total of 204,8079 shares of Dell Technology in the past 3 months. This kind of continuous disclosure can easily attract market attention, because important shareholders' holdings reduction arrangements are often interpreted by investors as increasing short-term supply pressure, or at least indicating that some long-term shareholders are making asset allocation adjustments.
On the company's management side, there have also been intense changes in shareholding. David Alan Kennedy, chief financial officer of Dell Technology, disclosed that he reduced his holdings of 23,896 common shares in total through two transactions on September 17, and still directly held 159,201 shares even after the reduction. General Counsel and Company Secretary Richard J. Rothberg also reduced his shareholding of 4000 common shares on the same day and directly held 13,2415 shares after the reduction. Other disclosures revealed that the company recently had 79 insider transactions, including multiple sales records from shareholders holding 10% or more of the shares.
