Changes in Newmans (02530) Company's Shareholding Framework

The company was informed by Yuandong Fortune, Mr. Wang and Ms. Cui that on September 28, 2026, as part of the family wealth planning arrangement, Mr. Wang transferred 91% of his equity interest in Yuandong Wealth to his spouse, Ms. Cui, at nominal cost. Immediately before and after the share transfer was completed, Far East Wealth was still the controlling shareholder, holding 750,000,000 shares, accounting for 75% of the total issued share capital of the Company.

Immediately before the share transfer was completed, Mr. Wang held 91% of Yuandong Wealth's interests and Ms. Cui held 9% of the shares. Immediately after the share transfer is completed, Ms. Cui will become the sole shareholder of Far East Wealth, and Mr. Wang will no longer retain any equity interest in Far East Wealth. With her equity in Far East Wealth, Ms. Cui will be deemed to have an interest in 750,000,000 shares, accounting for 75% of the total issued share capital of the Company.
