Some Palo Alto Networks, Inc. (NASDAQ:PANW) shareholders may be a little concerned to see that the Independent Director, James Goetz, recently sold a substantial US$7.5m worth of stock at a price of US$377 per share. However, that sale only accounted for 6.0% of their holding, so arguably it doesn't say much about their conviction.
Over the last year, we can see that the biggest insider purchase was by Chairman & CEO Nikesh Arora for US$10.0m worth of shares, at about US$147 per share. We do like to see buying, but this purchase was made at well below the current price of US$390. While it does suggest insiders consider the stock undervalued at lower prices, this transaction doesn't tell us much about what they think of current prices.
Over the last year we saw more insider selling of Palo Alto Networks shares, than buying. The chart below shows insider transactions (by companies and individuals) over the last year. For a common shareholder, it is worth checking how many shares are held by company insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Palo Alto Networks insiders own about US$2.3b worth of shares (which is 0.7% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
Insiders sold stock recently, but they haven't been buying. Zooming out, the longer term picture doesn't give us much comfort. While insiders do own a lot of shares in the company (which is good), our analysis of their transactions doesn't make us feel confident about the company. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company.
