According to people familiar with the matter, Anthropic is requesting shareholders to approve a new corporate structure that grants special category shares to CEO Dario Amodei and the remaining six co-founders, so that they have collective voting control over most corporate matters. One of the sources said that with this new arrangement, which follows the Palantir founder's holding model, as long as 3 of the seven co-founders hold a minimum amount of shares in the company, all founders can hold 50.1% of voting rights in total. This will drastically change Anthropic's already special governance structure, resist pressure from external shareholders after the company's listing, and reinforce the influence of the founding team, which has a relatively low shareholding ratio. There is an important exception to founder control: Anthropic's board of directors has a total of 7 seats; currently 1 seat is vacant, and the right to appoint the majority of the board seats is vested in the company's long-term interest trust. The trust members are not shareholders of the company. It includes former Federal Reserve Chairman Ben Bernanke, who is responsible for advising the company on security and social issues. The trust will continue to hold this authority under the proposed new structure. The founder can currently appoint two directors.
