We wouldn't blame HealthStream, Inc. (NASDAQ:HSTM) shareholders if they were a little worried about the fact that Robert Frist, the Co-Founder recently netted about US$4.3m selling shares at an average price of US$29.50. However, that sale only accounted for 2.8% of their holding, so arguably it doesn't say much about their conviction.

The Last 12 Months Of Insider Transactions At HealthStream

In fact, the recent sale by Robert Frist was the biggest sale of HealthStream shares made by an insider individual in the last twelve months, according to our records. So we know that an insider sold shares at around the present share price of US$29.42. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. Given that the sale took place at around current prices, it makes us a little cautious but is hardly a major concern.

Insider Ownership

Many investors like to check how much of a company is owned by insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. It's great to see that HealthStream insiders own 21% of the company, worth about US$178m. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

So What Do The HealthStream Insider Transactions Indicate?

An insider sold stock recently, but they haven't been buying. Looking to the last twelve months, our data doesn't show any insider buying. On the plus side, HealthStream makes money, and is growing profits. While insiders do own a lot of shares in the company (which is good), our analysis of their transactions doesn't make us feel confident about the company. So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
