Zijin Xiamen Equity, a subsidiary of Zijin Mining (02899), invested 1 billion yuan to participate in the Times Shenzhen Fund

According to the Zhitong Finance App, Zijin Mining (02899) announced that on September 15, 2026, Zijin Xiamen Equity, a wholly-owned subsidiary of the company, signed a partnership agreement with partners such as Xiamen Puquan and Kunkun Investment. Zijin Xiamen shares participated as one of the limited partners in investing in the Times Shenzhen Fund. Zijin Xiamen's equity pledged capital of RMB 1 billion, holding a pledge ratio of 20.4081% of the fund.

Kun Kun Investment is one of the limited partners of Times Shenyuan Fund. The amount of capital pledged was RMB 200 million, and the pledge ratio of the holding fund was 4.0816%. Since the actual controller of Kun Kun Investment is Mr. Chen Jinghe, the original chairman of the company, and as of the date of this announcement, he has left his position as chairman of the company for less than 12 months. According to the relevant provisions of the Shanghai Listing Rules, Mr. Chen Jinghe is still an associated natural person of the company. The investment forms a related transaction involving joint investment between the company and related parties.

Zijin Xiamen Co., Ltd. participated in this investment as a limited partner. It aims to rely on the research capabilities and project resources of professional investment institutions to track the development trends of cutting-edge technologies such as artificial intelligence and embodied intelligence, focusing on application opportunities of these technologies in main business scenarios such as resource exploration, intelligent mine construction, metallurgical selection process optimization, production safety management and operation decisions, and reserving external resources for the company's digital transformation and technological innovation.

The company is a large-scale multinational mining group that is mainly engaged in exploration and development of metal mineral resources such as copper, gold, lithium, zinc, silver, and molybdenum on a global scale. As a limited partner, Zijin Xiamen Co., Ltd. participated in the subscription of the Times Deep Fund, which helped expand the company's layout in resource exploration, intelligent mine construction, metallurgical process optimization, and production safety management. Therefore, directors, including independent non-executive directors, believe that the terms of the transaction were reached after fair and reasonable measures, and that the partnership agreement was concluded in accordance with general commercial terms and the normal business of the Company, which conforms to the overall interests of the Company and shareholders.
