We'd be surprised if FBD Holdings plc (ISE:EG7) shareholders haven't noticed that the Group CFO & Executive Director, Kate Tobin, recently sold €274k worth of stock at €18.90 per share. The eyebrow raising move amounted to a reduction of 26% in their holding.

The Last 12 Months Of Insider Transactions At FBD Holdings

Notably, that recent sale by Kate Tobin is the biggest insider sale of FBD Holdings shares that we've seen in the last year. That means that an insider was selling shares at around the current price of €18.70. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. Given that the sale took place at around current prices, it makes us a little cautious but is hardly a major concern.

In the last twelve months insiders purchased 9.66k shares for €166k. But insiders sold 18.72k shares worth €344k. Over the last year we saw more insider selling of FBD Holdings shares, than buying. Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. From looking at our data, insiders own €4.1m worth of FBD Holdings stock, about 0.6% of the company. However, it's possible that insiders might have an indirect interest through a more complex structure. We prefer to see high levels of insider ownership.

So What Does This Data Suggest About FBD Holdings Insiders?

An insider sold stock recently, but they haven't been buying. Despite some insider buying, the longer term picture doesn't make us feel much more positive. But it is good to see that FBD Holdings is growing earnings. Insiders own relatively few shares in the company, and when you consider the sales, we're not particularly excited about the stock. So we're not rushing to buy, to say the least. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. Be aware that FBD Holdings is showing 4 warning signs in our investment analysis, and 1 of those makes us a bit uncomfortable...
