Why Skyworks Solutions extended the Qorvo debt exchange offers

Skyworks Solutions (SWKS) has extended the expiration of its exchange offers for Qorvo senior notes, a move tied directly to its planned Qorvo merger and to how the combined company will structure its debt.

The offers now run until 5:00 p.m. New York City time on 11 September 2026, instead of 1 September 2026. Skyworks Solutions is offering up to US$850m of new 4.375% senior notes due 2029 and up to US$700m of new 3.375% senior notes due 2031 in exchange for the respective Qorvo issues.

According to the information agent, about 90.55% of the 2029 Qorvo notes and 93.36% of the 2031 notes had already been validly tendered and not withdrawn by 1 September 2026. Holders who have already tendered do not need to act again, while others can still participate before the new deadline if they wish to access the consideration and any early participation terms described in the prospectus.

Each exchange offer remains conditional on the closing of the mergers that would make Qorvo a wholly owned subsidiary of Skyworks Solutions. The mergers themselves are not conditioned on the outcome of the exchange offers, which means investors are looking at two separate but related processes that could influence the future capital structure of Skyworks Solutions stock.
