SPW-044/2026 3rd August, 2026 Subject: Notification of the Unitholders' Objection Period Result Regarding Proposed Long-Term Loan Agreement with SCB, Which May Constitute a Conflict of Interest Transaction between Trust and Persons Connected to Trustee To: President The Stock Exchange of Thailand Attachment: Letter No. SPW-039/2026, Notification about entering a transaction that there may be conflicts of interest between the REIT and persons connected to the Trustee, dated 16th July 2026. Pursuant to Letter No. SPW-039/2026 of Sri Panwa Hospitality Real Estate Investment Trust (the "Trust") regarding the Notification about entering a transaction that there may be conflicts of interest between the REIT and persons connected to the Trustee, Charn Issara REIT Management Company Limited (the "Company"), as the REIT Manager, previously disclosed information through the Stock Exchange of Thailand's information system regarding a long-term loan between the Trust and Siam Commercial Bank Public Company Limited to serve as a funding source for the redemption of the debentures Series SPWRT268A. As the lending bank for the aforementioned transaction is a related person of the Trustee, the entry into this transaction constitutes a related party transaction that may give rise to a potential conflict of interest for the Trust. Prior to entering into such transaction, the Trust was required to disclose the relevant information to the unitholders at least 14 days in advance, together with clear details of the channels, procedures, and period for submitting objections. The objection period was required to be no less than 14 days. Accordingly, the Company provided the unitholders with the opportunity to submit objections to the REIT Manager during the period from 16 July 2026 to 29 July 2026. If unitholders representing more than one-fourth of the total issued trust units expressly objected to the proposed transaction in accordance with the prescribed procedures, the Trustee would be prohibited from entering into, or giving its consent to, such transaction. The objection period has now expired. The Company hereby announces that no trust unitholder submitted an objection to the proposed transaction within the prescribed period. Accordingly, the Trust may proceed with the transaction. The Trust is scheduled to enter into a long-term loan agreement with Siam Commercial Bank Public Company Limited ("SCB"), a connected person of the Trustee of the Trust, for a loan facility in the amount of THB 274,700,000. Together with a loan facility of THB 300,000,000 to be obtained from another financial institution, the Trust will have total loan facilities of THB 574,700,000, which will be used to repay the Trust's SPWRT268A debentures upon their maturity on 10 August 2026.
