of interest
between the REIT and persons connected to the Trustee

Charn Issara REIT Management Company Limited ("the Company") as the REIT
manager, we would like to inform you that, the Trust currently has an obligation
to repay the debenture series SPWRT268A in the amount of THB 574,700,000, which
will mature on August 10, 2026. Therefore, to enable the Trust to repay the
said debenture on schedule, the Company is considering procuring a long-term
loan from a financial institution with a credit facility of not exceeding THB
275,000,000. This long-term loan facility is currently under credit approval
consideration by Siam Commercial Bank Public Company Limited ("Siam Commercial
Bank").
This is because Siam Commercial Bank is a 99.99% shareholder in SCB
Asset Management Company Limited ("SCB Asset Management"), which is the Trustee
of the Trust. Therefore, Siam Commercial Bank is a person connected to the
Trustee. Borrowing the amount of 275,000,000 baht is therefore an act that
conflicts with the interests of the trust that the trust must arrange for
disclosure through the Stock Exchange of Thailand and reveal channels for trust
unitholders to express their objections for no less than 14 days.
Preliminary summary of loan conditions:
Total Loan Amount : 275,000,000 baht
Objective : To repay the debenture maturing on August 10, 2026, in the amount of
THB 574,700,000
Loan type (duration) : Long-term loan for 2 years, maturing no later than June
30, 2028
Interest rate MLR -The rate specified in the loan contract.
Collateral : Secured
The Company plans to have the REIT enter into the said loan agreement around
July 30, 2026, so that the Trust will receive the loan proceeds and be able to
repay the maturing debenture on August 10, 2026, as scheduled. The Company has
never disclosed the above conflict of interest. We therefore request to report
and disclose information as detailed above. If any trust unitholder wishes to
object to the trust's borrowing as specified above, you can make objections as
follows:
1. Print the form as attached to Attachment 1 and fill in the information
completely.
2. Send the completed and signed Transaction Objection Form mentioned in item 1
via by registered mail to the company's office by July 29, 2026.
If the trust unitholders object to the said loan transaction in an amount
exceeding one-fourth (1/4) of the total number of sold units of the trust. Such
borrowing cannot be done.
Company's opinion
The Company has considered that the abovementioned loan will be
beneficial to the Trust and the trust unitholders and is not contrary to the
Trust Deed, laws, or any related announcements. This is because the loan
conditions offered by Siam Commercial Bank are normal trading conditions that
have gone through the company's credit line selection process.
