The fintech company signed a nonbinding heads of terms for the proposed deal, which would include a portfolio of independent stock companies, together with related contractual arrangements, intellectual property rights, and operating infrastructure related to Société Financière's inventory ownership operations. The purchase price will be determined following an independent valuation, with the consideration expected to comprise an initial non-contingent cash payment, alongside a deferred or earn-out component payable in either shares or warrants. The parties aim to complete the transaction by the end of March, subject to due diligence and the completion of the independent valuation. However, Supply@ME noted that there is no certainty that the transaction will proceed.
