AutoNation Insiders Sold US$221m Of Shares Suggesting Hesitancy

The fact that multiple AutoNation, Inc. (NYSE:AN) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

AutoNation Insider Transactions Over The Last Year

The insider, Edward Lampert, made the biggest insider sale in the last 12 months. That single transaction was for US$88m worth of shares at a price of US$201 each. That means that even when the share price was below the current price of US$206, an insider wanted to cash in some shares. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. However, while insider selling is sometimes discouraging, it's only a weak signal. We note that the biggest single sale was only 18% of Edward Lampert's holding.

AutoNation insiders didn't buy any shares over the last year. The chart below shows insider transactions (by companies and individuals) over the last year. By clicking on the graph below, you can see the precise details of each insider transaction!

Insider Ownership Of AutoNation

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. I reckon it's a good sign if insiders own a significant number of shares in the company. It's great to see that AutoNation insiders own 5.3% of the company, worth about US$402m. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
