Amplex Raises Cash Offer for ADDvise to SEK1.1 Billion

01:01 AM EST, 12/22/2025 (MT Newswires) -- ADDvise Group (ADDV-A.ST) received an increased cash offer from Amplex, valuing the Swedish life sciences group at 1.1 billion kronor, according to a Dec. 19 filing. Under the revised proposal, Amplex offered 1.72 kronor per class A and B share, along with 0.52 krona per warrant of series TO1A and series TO1B. It previously offered 1.65 kronor per share and 0.49 krona per warrant for the same series. Amplex also entered into agreements for the conditional acquisitions of shares and warrants from certain shareholders, with completion expected by March 20, 2026. Under the agreements, the sellers are entitled to a potential top-up payment if Amplex increases the consideration under the revised offer or acquires additional ADDvise shares or warrants within six months following the first settlement of the offer. The acceptance period for the offer will run until Jan. 23, 2026, with settlement to be initiated on Jan. 30, 2026.
