BidCo Clover Launches Takeover Offer for Spir Group

09:14 AM EST, 12/19/2025 (MT Newswires) -- Acquisition vehicle BidCo Clover launched its offer to purchase the entire share capital of software company Spir Group (SPIR.OL) after securing approval from the Norwegian Financial Supervisory Authority. The bidder, wholly owned by HoldCo Clover, which is in turn owned by the four largest shareholders of Spir, is offering to pay 8.567 Norwegian kroner per share for Spir's shares that it does not already own. The offer period closes Jan. 16, 2026. BidCo Clover has already received pre-commitments, reflecting 4.27% of Spir's share capital, for the offer. Prior to its completion, the bidder would own a 66.55% stake.
