VertiGIS Reaches In-Principle Deal for Terms of Potential GBP87 Million 1Spatial Takeover Offer

02:51 AM EST, 12/12/2025 (MT Newswires) -- 1Spatial (SPA.L) said Friday it reached an in-principle agreement on the terms of a potential takeover offer from Battery Ventures portfolio company VertiGIS, with a possible offer price of 0.73 pound sterling per share for a total value of 87.1 million pounds. After completing commercial due diligence, VertiGIS is awaiting completion of limited confirmatory due diligence before it announces a firm intention to make an offer, according to a Friday filing. 1Spatial's board intends to recommend that shareholders accept the offer when it is tabled, though the location master data management software company also cautioned that there is no certainty that an offer will be made.
