Mural Oncology Acquisition By XOMA Royalty Subsidiary Effective December 5, Under Companies Act Scheme

Mural Oncology plc, (NASDAQ:MURA) ("Mural") announces that the scheme of arrangement between Mural and its shareholders under Chapter 1 of Part 9 of the Companies Act 2014 (the "Scheme") pursuant to which XRA 5 Corp. ("Sub"), a wholly-owned subsidiary of XOMA Royalty Corporation (NASDAQ:XOMA) ("XOMA Royalty") will acquire the entire issued and to be issued share capital of Mural, became effective today, 5 December 2025 (the "Effective Date").
